  • Description: This course examines key intellectual property issues that arise for business/transactional attorneys when drafting, reviewing, and negotiating agreements. It will focus on what you can expect to see on a day-to-day basis as a practicing business attorney. We will cover and provide examples of common types of agreements, such as licenses, assignments, and non-disclosure agreements. We will also address issues that come up regularly during negotiations, such as license and assignment language, warranties, indemnification, and limitation of liability, so you know a reasonable position to take during negotiations. Finally, we’ll address “boilerplate” terms and why they are often important.  
  • Prerequisite: Intellectual Property Survey is strongly recommended but not required. IP Survey may also be taken concurrently.
