  • Description: This course is part of the “Business Associations” course series that surveys fundamental legal issues associated with the principal types of business enterprises. This particular course primarily surveys state laws governing the formation and operation of closely-held business associationsincluding partnerships, limited partnerships, limited liability companies, benefit corporations, and closely-held corporationsbut also examines federal law governing public offerings and private placements. The course will cover the choice of business entity, forming and financing business enterprises, agency, and the relationship among business owners. It is recommended that students intending to take both parts of the course series take this one first. But the courses may be taken in any order, and students may take either course alone.
